Seller Agreement

The binding terms that apply to every independent Seller who lists products on the ferkas.market marketplace.
1. Parties & scope
This Seller Agreement is between FERKAS GLOBAL LTD (company no. 17202767) ("FERKA$", "we") and the individual or business ("Seller", "you") accepted onto the ferkas.market marketplace.
It applies together with the Terms & Conditions and all other marketplace policies. In the event of conflict, the Marketplace Protection Rules, Buyer Protection Policy, and Seller Payout Protection Policy prevail over any individual seller-set term.
2. Onboarding, KYC & verification
Sellers must provide accurate legal-entity information, beneficial-owner details, tax IDs (VAT/EIN/GST where applicable), a valid payout account in the Seller's own name, and any KYC/AML evidence we reasonably request.
We may decline, suspend, or terminate Sellers that fail verification, provide false information, appear on sanctions lists, or breach this Agreement.
3. Listings, content & authenticity
Sellers are solely responsible for the accuracy, legality, safety, and quality of their listings, including titles, descriptions, images, pricing, stock, condition, taxes, warranty terms, and category placement.
Every item listed must be authentic, lawfully sourced, and lawfully sellable to the destination country. Counterfeit, replica, stolen, recalled, or restricted items are prohibited (see Prohibited Products Policy).
Sellers grant FERKA$ a non-exclusive, worldwide, royalty-free licence to use listing content to operate, promote, and market the marketplace.
4. Shipping & fulfilment obligations
Sellers must dispatch confirmed orders within the handling time shown on the listing (default: within 2 business days), upload valid carrier tracking, and use a delivery method with delivery confirmation.
Sellers must comply with the Shipping Policy, including tracking, international customs paperwork, and lost-parcel handling.
Late dispatch, missing tracking, and undelivered parcels count as performance defects and may reduce the Seller's account health and search visibility.
5. Customer service standards
Sellers must respond to Buyer messages within 2 business days, honour the Return & Refund Policy, and cooperate fully with Buyer Protection claims and Dispute Resolution.
Sellers must maintain an on-time-delivery rate of at least 95%, an order-defect rate below 2%, and a cancellation rate below 2.5% (rolling 60 days). Persistent under-performance may result in listing suppression, account suspension, or termination.
6. Fees, commission & payouts
FERKA$ charges a platform commission on each sale (default 10%, configurable per category, per Seller, or per promotion). Payment-processing fees, refund fees, chargeback fees, shipping-label costs, and advertising fees may also apply.
Payouts are made to the Seller's verified payout account in accordance with the Seller Payout Protection Policy. FERKA$ may withhold, delay, hold, reverse, or recover funds where necessary to cover refunds, chargebacks, disputes, or policy violations.
Fees may be updated on 30 days' notice. Continued listing after the effective date is acceptance of the new fees.
7. Prohibited seller activities
Sellers must not: (a) list prohibited or restricted items without approval; (b) manipulate reviews, ratings, or search ranking; (c) offer or accept off-platform payments; (d) contact Buyers for purposes other than fulfilling an order; (e) use Buyer personal data for marketing or resale; (f) create multiple or evasive accounts; (g) engage in price-fixing or collusion; (h) list drop-shipped items sourced from other retail marketplaces (e.g. reselling from AliExpress/Amazon direct to Buyer) without clear disclosure and legal right; (i) infringe any third-party IP.
8. Compliance with law & taxes
Sellers must comply with all applicable laws, including consumer protection, product safety, labelling, CE/UKCA marking, export controls, sanctions, and data-protection laws.
Sellers are solely responsible for calculating, collecting, reporting, and remitting all taxes on their sales, unless FERKA$ is legally required to collect and remit on the Seller's behalf (e.g. UK marketplace-facilitator VAT, EU IOSS/OSS, US marketplace-facilitator sales tax).
9. Account suspension & termination
FERKA$ may suspend or terminate a Seller account, remove listings, and withhold pending payouts where: the Seller breaches this Agreement or any policy; there is a reasonable suspicion of fraud, counterfeit, IP infringement, safety issues, money laundering, or sanctions violation; performance metrics fall below required thresholds; or continued operation would materially harm Buyers or the marketplace.
Serious breaches (fraud, counterfeit, safety, illegal content) allow immediate suspension without prior notice. Held funds may be retained for up to 180 days to cover expected refunds, chargebacks, disputes, fines, and losses.
10. Indemnity
Sellers indemnify FERKAS GLOBAL LTD, its affiliates, officers, and staff against all claims, losses, fines, and reasonable legal costs arising from: (a) their products, listings, or fulfilment; (b) their breach of this Agreement or any law; or (c) any tax, IP, product-liability, or regulatory claim relating to their items.
11. No employment or agency
Sellers are independent contractors. Nothing in this Agreement creates any partnership, joint venture, employment, franchise, or agency relationship between FERKA$ and the Seller.
